Terms of Service

This is the English version of our policy. If it conflicts with the Korean version, the Korean version governs. Consent to receive text messages is collected separately in the SMS opt-in form and is described in our SMS Program Terms.

Article 1. Purpose

These terms specify the conditions for using Modoo Designer Corp. (the Company) online and mobile services, websites, the Modoo Designer service (Service) and web editor (Editor), and the rights, obligations and responsibilities between the Company and users.

They apply to visitors, non-members, members, providers and contributors (Users), and incorporate the Privacy Policy and License Policy, including future amendments.

Article 2. Effect and amendment

Accessing or using the Service is regarded as agreement to these terms and the Company's privacy, copyright and other stated policies, which take effect immediately. The Company may amend the terms without prior notice insofar as applicable law permits.

The Company announces an amendment's effective date and reasons through website notices or email at least seven days before application. Such notice is regarded as consent and application, and the revised terms take effect. Changes unfavorable to Users must be announced at least 30 days beforehand and displayed so Users can easily find them.

Users who disagree may withdraw or terminate membership. Using the Service after the effective date is regarded as accepting the changes. The Company is not responsible for damage caused by Users failing to recognize changes notified or displayed through the Service.

Article 3. Definitions

User: every individual, group or corporation using the Service, including members, non-members, contributors and providers. Member: a User who concludes a use agreement and receives a Service account. Use Agreement: the contract concluded to use the Service, synonymous with membership registration. Termination: cancellation of that agreement, synonymous with withdrawal.

Design Element: unique data supplied through the Editor, including photos, icons, images, shapes, text, tables, video and audio. Template: editable data combining multiple Design Elements for use of the Service. User Design: data personally edited or saved by a User through the Editor. Derivative Work: any output made using a User Design for web posting, printing or other output.

Partner: a party authorized to sell or resell the Service, or an authorized solution developer or service provider combining Modoo Designer with another service.

Article 4. Formation of service use

Users may request a Use Agreement by registering for member-only services. The agreement becomes effective immediately when the Company approves registration information. Subject to these terms, Members receive a non-exclusive, limited and non-transferable license to use the Service.

The Company may differentiate service access by member grade. It may change these terms or the License Policy at any time for any reason and apply additional conditions to designs and content downloaded, uploaded, posted or printed through the Service.

Article 5. Member accounts and information

The Company must protect member information according to the Privacy Policy and applicable law. Members must prevent disclosure of passwords, email and account information; the Company is not responsible for disclosure attributable to Members.

Within the limits of law, information may be provided to third parties with prior consent; in non-identifying form for statistics, research or market surveys; upon business transfer or merger following legally required advance notice and a right to withdraw transfer consent; or where required by law or investigating authorities.

Article 6. Member accounts

The Company creates an independent account for a User concluding a Use Agreement, assigning the supplied email address to the email account. Paid and free members receive permission to use the Service within the License Policy. Members may terminate through the withdrawal menu or customer support.

Users must supply accurate, complete information. The Company may manage and change personal information according to applicable law and the Privacy Policy. A User cannot use another's account without permission. Identity theft or false information eliminates claims to rights arising from service or security issues and may lead to civil liability or criminal punishment. The Company may delete an account created with another's name or email; responsibility rests with the Member.

The Company may change or terminate an email account if it contains identifying information that could invade privacy; information causing disgust or social anxiety; a name identical to or confusingly similar to the Company, Service or operator; or other reasonable grounds for legal problems or social disputes.

Members bear factual and legal responsibility for disputes resulting from account activities; the Company bears no responsibility. Members must keep passwords secure, may not allow another to access the Service using their unique username, password or security codes, and must immediately report breaches or unauthorized use.

Members bear all account and password management responsibility. The Company is not responsible for third-party misuse caused by a Member's negligent management or for losses arising from unauthorized use. Strong passwords are recommended.

Article 7. Member notifications and notices

Notices may be sent individually to the disclosed email or telephone or through app popups and notifications. If contact details are missing or changed, or the app has been removed or is unused, a Company bulletin-board notice displayed for at least seven days may replace individual notification.

Notices to all Members may be posted for at least seven days, except matters materially affecting an individual's transaction, which follow the individual method above. If a notice states that absence of rejection by a specified date will be regarded as consent, and the Member does not expressly reject it, the Company regards consent as given on that date.

Article 8. Modification and termination

Members terminate through the Service menu, or through customer support when the menu cannot be used. On termination or loss of membership, except where these terms or law provide otherwise, the Company may delete member information and all related information to maintain a better Service environment.

Members must back up needed information before termination. The Company is not responsible for deletion after termination. A withdrawn Member may register again according to the registration procedure and applicable provisions. Re-registration by a Member whose membership was terminated for a violation of these terms may be restricted for a period.

Article 9. Service hours

In principle the Service operates 24 hours every day, including holidays. Planned improvement work or technical problems may cause interruption without separate notice. Urgent inspections, expansion or replacement may cause temporary interruption without advance notice; reasonable grounds may justify complete discontinuation.

If national emergencies, power failures, equipment faults or excessive use prevent normal operation, the Company may restrict or suspend all or part of the Service and announce the reason and duration before or after the event.

Article 10. Service restrictions

Content or conduct falling within prohibited uses may result in immediate deletion without notice of User content, other uploaded content or User Designs. The Company may change the Service or stop providing services or features without prior notice; Users remain bound by these terms and the License Policy.

A User whose account has been terminated for any reason needs advance Company approval before creating another account; creating one without approval may result in permanent blocking. The Company may, but is not required to, monitor disputes between Users or Members and bears no responsibility for them. Use may be restricted for unavoidable equipment, technical or Company-attributable reasons, or correction requests by public authorities such as the Korea Communications Commission.

Members must comply with law, these terms, use guidelines, service instructions, precautions and Company notices. Prohibited conduct includes: false registration or changes; abnormal registration attempts or interference during events; collecting, storing, disclosing, stealing or misusing others' information; transferring or gifting service rights or contractual status; using unlawful programs or abnormal routes that circumvent copyright-related technical protection; copying, modifying, distributing, selling, transferring, renting or allowing others to use Service content or software without consent; reverse engineering, extracting source code, duplicating, dismantling, imitating or modifying the Service; impersonating the Company, operators or staff or stealing their information; altering or transmitting Company-posted information; public or commercial use rather than private use; disseminating false information or abnormal use for financial benefit; harassment, threats or defamation against the Company, members or third parties; posting obscene, violent or otherwise socially offensive information; interfering with support through abuse, sexual harassment or repeated complaints; unlawful acts; and any other interference with sound operation.

Article 11. Content copyright and use

Copyright in all content supplied by the Company or Service belongs to its original creator and is an exclusive asset of the content provider or Company. Members must use content according to the License Policy. Members alone bear responsibility and expense for resolving disputes caused by license violations.

Article 12. Company obligations

The Company promptly repairs and restores faulty equipment to provide continuous, stable service; publishes and complies with the Privacy Policy; and appropriately considers and improves justified user opinions, complaints and suggestions. Where immediate improvement is impossible, it informs the User of reasons and the schedule. Planned temporary interruptions for improvement are announced in advance through the Service.

Article 13. Member obligations

Members must provide factual information at registration and when changing account information. Anyone using false or another person's information cannot claim service rights.

Members must comply with these terms, Company rules and notices and relevant law, and must not interfere with Company business, damage its reputation or harm others. They must comply with laws including the Juvenile Protection Act and may be punished under applicable law for violations.

Members must manage their email ID and password personally and bear responsibility for problems caused by negligent management. Commercial activity through the service requires advance Company approval; members bear responsibility for its results. Unauthorized commercial activity causing Company or service damage may result in restrictions and lawful claims for compensation.

Without express consent, members cannot transfer, gift or pledge service rights or contractual status. Members must not infringe intellectual-property rights of the Company, affiliates, contributors, providers or other individuals or businesses. Prohibited conduct may result in restrictions and legal measures. See Article 10 for the scope of restrictions.

Members permit the Company to publish designs made using the service on its website and social media as examples of use. Members also permit storage of entered data and user designs to improve quality, performance, service advancement and optimization.

Feedback from the Company or its agents about these terms or the license policy is solely for interpreting the terms and is not legal advice. The Company cannot provide legal advice and disclaims liability for such feedback.

Article 14. Advertising and advertiser transactions

The Company may provide useful information by notices or email. Members may decline email at any time except legally required transaction information and replies to inquiries, through the unsubscribe link or Service menu. Service use is regarded as agreement to advertising displayed in it.

The Company does not guarantee products or services supplied or advertised by advertisers or third parties and is not responsible for loss or damage resulting from participation, communication or transactions involving advertisers' promotions displayed through the Service.

Article 15. Disputes

When necessary, the Company may convene and operate a damage-compensation committee to address justified opinions or complaints from Members, Users or Providers. It prioritizes their handling and, if prompt resolution is difficult, explains the reasons and expected schedule.

For electronic-commerce disputes, upon a Member's or User's request for relief, the parties may follow mediation by an institution referred by the Fair Trade Commission or provincial or metropolitan governor.

Article 16. Company limitation of liability

To the maximum extent permitted by applicable law, the Company disclaims liability for losses or property damage arising from: natural disasters, war or similar force majeure preventing service; telecommunications operators stopping or failing to provide normal service; unavoidable maintenance, replacement, inspection or construction; user-attributable disruption; computer errors or inaccurate personal or email information; information or materials obtained through the Service; mental or material harm caused by another User; content or posted-information errors or inaccuracies; infringement by user content, posts or registered materials of others' copyright, intellectual-property or moral rights; disputes between Users or with third parties; or data loss, mental or material loss or business interruption due to service or network failure.

The Company may change website content, software and posts without prior notification. It is not responsible for damage caused by failure to check relevant law, changes to these terms or operating policies, or member notices. It disclaims liability regarding free services except damage caused by its intentional act or gross negligence.

Article 17. Indemnification

Members bear all costs of property damage and legal disputes concerning their content, account or Service use that harm the Company, Service, Providers, administrators, employees, agents or contractors or violate these terms or law. This includes damage from unlawful access attempts or acts; breach of these terms or the Use Agreement; use beyond the License Policy; infringement of third-party rights including privacy and intellectual property; and claims or damage arising from User Elements or User Content posted or used by Members or Users.

Article 18. Jurisdiction and governing law

Matters not covered by these terms follow applicable law. Courts with jurisdiction over the Company's location have jurisdiction over Service disputes. Proceedings between the Company and Users or Members are governed by the law of the Republic of Korea.
